BOARD OF DIRECTORS PROFILES 1. MR. TAN JOON YONG, WAYNE Executive Chairman and Group President Mr. Tan is currently the Executive Chairman and Group President of the Company. Mr. Tan is responsible for leading management in building and developing the Group’s operations, and strengthening the management structure. In his previous role, he was the director, shareholder and founder of Cloud Stringers (S) Pte Ltd, a subsidiary of the Company, and was responsible for the overall marketing and sales, planning and strategy of the subsidiary. This included developing online/web-based products and strategic partnership for the business. Mr. Tan holds a Bachelor of Marketing & International Business degree from The University at Buffalo, State University of New York. 2. MR. LUN CHEE LEONG Independent, Non-Executive Director Mr. Lun is currently the Lead Independent Director, Chairman of Nominating Committee and Member of Remuneration and Audit and Risk Committees. Mr. Lun is a Corporate Lawyer by profession and has more than 26 years of legal experience. He is presently a Senior Partner and Deputy Head of the Corporate Department with Lee & Lee. In his profession, Mr. Lun advises on a broad range of matters covering corporate finance, mergers and acquisitions, corporate governance and regulatory matters. He is well acquainted in governance and compliance matters and has served as Company Secretary to many SGX Main Board and Catalist listed issuers and is a Member of the Audit Committee in a Singapore charity. Mr. Lun writes extensively in legal publications such as Woons Corporations Law, Halsbury’s Law of Singapore and Lexis Nexis Practical Guidance on Corporate Governance and Public Company Takeovers. Mr. Lun graduated with a LLB (Hons) degree from National University of Singapore. 3. MR. KWEK SWEE HENG Independent, Non-Executive Director Mr. Kwek Swee Heng is currently an Independent Non-Executive Director, Chairman of the Remuneration and Audit and Risk Committees, and a Member of the Nominating Committee. Trek 2000 board clears deputy CEO of conflict of interest

THE board of Trek 2000 International on Wednesday said its newly appointed deputy CEO Edwin Long has been cleared of conflict of interest arising from his directorship at the subsidiary of a competing firm.

Dr Long is currently a director of Digiland (Thailand) Co Ltd, which is a wholly owned subsidiary of New Silkroutes. Both New Silkroutes and Trek 2000 compete in the information technology business. Digiland mainly distributes information technology products in Thailand.

"No conflict of interest arises from Dr Long's directorship in Digiland as the company is primarily engaged in the research and development and sales of data storage products and internet-of-things products while Digiland is primarily engaged in the distribution of information technology products in Thailand," Trek 2000 said on behalf of its board.

Trek 2000 said Dr Long had tendered his resignation from New Silkroutes on May 4, 2016 and is currently serving his notice period until his last day of employment in New Silkroutes on June 30, 2016.

Digiland has purchased, and may continue to purchase, goods from Thumbdrive Plus (Thailand) Ltd, an associated company of Trek 2000, but earlier purchases were carried out on an arms-length basis and Dr Long was not involved in negotiating the price or commercial terms of these purchases, Trek 2000 said.

"Dr Long will abstain from all discussions and decisions relating to transactions between Digiland and the company, its subsidiaries, or associated companies; and Dr Long is mindful of any potential conflicts of interest arising from both the company and New Silkroutes (or its subsidiaries) being engaged in the information technology business segment," Trek 2000 said.

Trek 2000's board added that the transactions between Thumbdrive and Digiland do not fall within the definition of an "interested person transaction", as according to the listing manual, and that there are no transactions between the company and New Silkroutes.

Trek 2000 says no financial impact from charges against founder and ex-CEO Henn Tan

SINGAPORE ( THE BUSINESS TIMES ) - Technology provider Trek 2000 maintains that it is uninvolved in legal charges against the company's founder as well as former chairman emeritus and chief executive Henn Tan, as the matter is "in his personal capacity".

Responding to an Aug 15 article from The Business Times, the group said there was no financial impact to the company from these charges, and that the company's financial position "continues to be healthy".

Based on Trek's financial statements for the first half of the fiscal year ended June 2022, the group sank into a net loss of US$6.4 million (S$8.9 million) from its earnings of US$504,000 the previous year.

Revenue fell 64.2 per cent to US$7.4 million from US$20.7 million in the first half of FY2021, which the group attributed mainly to the Covid-19 lockdown in China - its main market - along with volatility in foreign exchange rates.

Gross profit margin for the half-year decreased to 4 per cent from 7.5 per cent, due to lower sales demand faced in the global market.

In a bourse filing on Tuesday (Aug 23), Trek said it remains unaware of any financial misappropriation from the charges faced by Tan, who earlier this month pleaded guilty to five charges of engaging in conspiracies to falsify accounts, forge documents to cover his tracks as well as cheat the external auditors.

The company highlighted that its board has "taken decisive steps to identify the lapses in internal controls and governance systems" since the charges first came to light in 2016.

"After thorough reviews by independent CPA (certified public accounting) firms were concluded up to 2019, the board of directors and the company's new executives worked diligently to implement all the recommendations made and strengthen the internal control and governance systems of the company," it said.

Adding that a new management team has been in place since early 2018, Trek emphasised that its former management staff who were charged are no longer involved in the day-to-day operations of the company.

Tan stepped down from his CEO role following objections by the Singapore Exchange in 2018, but remained as chairman emeritus until 2020.

Trek's management team is now helmed by his son and the group's deputy chairman, Wayne, who is said by the company to have "worked diligently to ensure continuity to business operations".

Mainboard-listed Trek was closed unchanged at 8.1 cents on Tuesday, after the latest announcement was made.
