Trek 2000 says no financial impact from charges against founder and ex-CEO Henn Tan

SINGAPORE ( THE BUSINESS TIMES ) - Technology provider Trek 2000 maintains that it is uninvolved in legal charges against the company's founder as well as former chairman emeritus and chief executive Henn Tan, as the matter is "in his personal capacity".

Responding to an Aug 15 article from The Business Times, the group said there was no financial impact to the company from these charges, and that the company's financial position "continues to be healthy".

Based on Trek's financial statements for the first half of the fiscal year ended June 2022, the group sank into a net loss of US$6.4 million (S$8.9 million) from its earnings of US$504,000 the previous year.

Revenue fell 64.2 per cent to US$7.4 million from US$20.7 million in the first half of FY2021, which the group attributed mainly to the Covid-19 lockdown in China - its main market - along with volatility in foreign exchange rates.

Gross profit margin for the half-year decreased to 4 per cent from 7.5 per cent, due to lower sales demand faced in the global market.

In a bourse filing on Tuesday (Aug 23), Trek said it remains unaware of any financial misappropriation from the charges faced by Tan, who earlier this month pleaded guilty to five charges of engaging in conspiracies to falsify accounts, forge documents to cover his tracks as well as cheat the external auditors.

The company highlighted that its board has "taken decisive steps to identify the lapses in internal controls and governance systems" since the charges first came to light in 2016.

"After thorough reviews by independent CPA (certified public accounting) firms were concluded up to 2019, the board of directors and the company's new executives worked diligently to implement all the recommendations made and strengthen the internal control and governance systems of the company," it said.

Adding that a new management team has been in place since early 2018, Trek emphasised that its former management staff who were charged are no longer involved in the day-to-day operations of the company.

Tan stepped down from his CEO role following objections by the Singapore Exchange in 2018, but remained as chairman emeritus until 2020.

Trek's management team is now helmed by his son and the group's deputy chairman, Wayne, who is said by the company to have "worked diligently to ensure continuity to business operations".

Mainboard-listed Trek was closed unchanged at 8.1 cents on Tuesday, after the latest announcement was made.

Trek 2000 chairman's son appointed group president

THE son of Trek 2000's executive chairman and CEO has been appointed group president and executive director of the beleaguered technology firm.

Trek 2000 said after Thursday's trading hours its board of directors has approved the new appointment.

Wayne Tan Joon Yang, 30, will assume the offices of group president and executive director with effect from May 24, 2018.

Mr Tan is the founder and director of private-owned Cloud Stringers, a subsidiary of Trek 2000.

He holds over 2.37 million shares in Trek 2000.

Trek 2000's chairman and CEO Henn Tan has been implicated in a forensic review of the company's dealings. On April 26, the Singapore Exchange slapped a notice of compliance on Trek 2000, demanding that the company hold an extraordinary general meeting as soon as possible to vote on the continued appointment of key executives, including its current CEO and president of operations, sales and customised solutions division Foo Kok Wah.

SINGAPORE: A man who founded mainboard-listed tech company Trek 2000 International, the firm behind the invention of the thumbdrive, was fined S$80,000 on Monday (Aug 24) for failing to disclose US$10.5 million (S$14.4 million) worth of transactions.

These transactions were between the Trek 2000 group and another firm Tan was the sole shareholder for, as well as a firm his son held majority shares in.

Henry Tan, 63, also known as Henn Tan, pleaded guilty to two charges under the Securities and Futures Act, with four other charges taken into consideration.

The well-known figure in Singapore's tech innovation scene faces several other pending charges, mostly for falsification of accounts relating to Trek 2000's financial statements.

The court heard that Tan was the chairman and chief executive officer of Trek 2000 and was an executive director as well as its largest shareholder.

Trek 2000 was incorporated as a private limited company in 1999 and converted into a public company the following year before listing on the Stock Exchange of Singapore Dealing and Automated Quotation System, and being transferred to the main board of the Singapore Exchange Securities Trading Limited in 2002.

Trek 2000 was an investment holding company with a portfolio of technology-related intellectual properties, including the thumbdrive or USB flash drive, which it invented in or around 2000.

Under the Securities and Futures Act, the firm was required to disclose certain transactions by interested persons. The company was required to immediately announce the latest transaction and all future transactions it entered into with an interested person during a financial year if the aggregate value of such transactions amounted to 3 per cent or more of the group's latest audited net tangible assets.

Tan's son, Wayne Tan Joon Yong, held 80 per cent of the shares in T-Data Systems, between September 2012 and March 2014. 

The net tangible assets for Trek 2000 and its subsidiaries for the financial year ending Dec 31, 2012 was US$35.1 million (S$48.2 million) and 3 per cent of this was US$1.05 million.

Trek 2000 and its subsidiaries entered into various transactions with T-Data between January 2013 and February 2013, with a value exceeding US$1.05 million after a sale of more than 208,000 pieces of wafer components to T-Data.

Trek 2000 was required to make an immediate announcement of this transaction and every subsequent transaction with T-Data of S$100,000 and above in the financial year, but failed to do so.

In total, Tan's company and its subsidiaries entered into US$12.3 million worth of transactions of wafer, USB and other components with T-Data in the financial year of 2013.

TAN ARRANGED FOR SON TO GET SHARES

Investigations showed that Tan knew that his son held shares in T-Data, and had in fact arranged for T-Data to be incorporated in 2007 with the wife of co-accused Poo Teng Pin, an executive director of Trek 2000 and the research and development director of the firm and its subsidiaries.

Tan instructed Poo's wife to transfer 80 per cent of T-Data's shares to Wayne and this was done in September 2012.

Tan also attended meetings where the topic of interested person transactions was discussed, but did not reveal his son's shareholding in T-Data.

Tan incorporated another firm, S-Com Solutions (Hong Kong) Co Limited, in October 2005 and was its sole shareholder.

Trek 2000 and its subsidiaries entered into various transactions with S-Com HK in 2010, with a value exceeding US$1,1149,119 or the threshold of 3 per cent of the group's audited net tangible assets.

In total, there were six transactions made with a total value of US$882,256 between the group and S-Com HK in the financial year of 2010. 

However, Tan did not disclose these transactions to the group. The offences were discovered during investigations by the Commercial Affairs Department into separate offences committed by the management of T2000.

Poo was fined S$20,000 in June for his role in the offences.

TAN MORE CULPABLE: PROSECUTOR

Deputy Public Prosecutor Tan Ee Kuan asked for a fine of at least S$90,000, saying that Tan was more culpable than his co-accused Poo as he attended meetings where the issue of whether Trek 2000 had entered into any interested person transactions was raised and discussed.

He also saw statements where the phrase "no IPTs for the period under review" was included in meeting minutes and circulated to him, but did not disclose his son's shareholding.

Defence lawyer Daniel Cai of Drew & Napier asked instead for a fine of S$40,000, saying that his client's charges were "under the least culpable limbs" of the act.

He said Tan should receive "identical sentences" as his co-accused Poo because they were both senior executives.

He added that Tan had entered a "timely plea of guilt" and did not have any personal gain from the transactions, which had been entered into "for the company's benefit".

Tan had also taken steps to immediately remedy procedures afterwards and has no prior convictions.

The judge agreed with prosecutors that Tan could be sentenced on a scale higher than that for Poo, noting that he faces more charges and has a higher degree of culpability.

Tan will return to court next month for other charges, mostly for falsification of accounts by making false entries in the company's financial statements.

He could have been jailed for up to seven years, fined up to S$250,000 or both for each charge of failing to disclose transactions by interested persons under the Securities and Futures Act.

For thousands of years, board games have entertained and enthralled players of all ages and, because of this, they have also served as the inspiration for several great movies. From role-playing fantasy adventures to strategy-based puzzles, board games were excellent cinematic fodder as the existing worlds that they brought to mind were fleshed out with characters, storylines, and spectacular visuals in many acclaimed films. While film studios were often rolling the dice when it came to how successful a board game movie would be, every once in a while, they came out on top and emerged victorious.

The greatest board game movies were categorized by their sheer variety and have included everything from epic science fiction thrillers, intense fantasy adventures, and even classics of world cinema. While murder-mystery comedies such as Clue immediately hinted at the story the board game movie would take, other films were more cryptic and infused board games into part of the narrative. With plenty of varied films to choose from, there were so many great board game movies over the years.

10 Battleship (2012)

Rihanna, Liam Neeson, and Taylor Kitsch star in the 2012 action movie adaptation of the board game Battleship. They play a group of Navy SEALs who confront an invading fleet of alien ships. As humanity's only hope, they must use all their training and resources to fight the alien invasion and save the planet.

Of all the board games that could have received a movie adaptation, Battleship was the most cinematic due to its strategic concept of sinking warships and carefully thought-out shots. The movie version of Battleship took this concept and ran with it by including an extraterrestrial threat that a small group of warships were forced to battle against or face utter destruction. However, with over-the-top visuals and a lackluster script, Battleship did not live up to its potential and was a mostly forgettable blockbuster disappointment.

A classic example of Hollywood studios adapting any recognizable property they possessed, Battleship came across as a misjudged cash grab that highly overestimated the public’s desire for a movie based on the Battleship game . While the corny and over-the-top spectacle of Battleship may be a guilty pleasure for some, it failed to impress critics and grossed a disappointing $303 million against its $209 million budget (via Box Office Mojo .) Sadly, Battleship was a sunken flop that underperformed at the box office and was best left to decay at the bottom of the ocean.

9 Ouija (2014)

Ouija was based on ouija boards.

Ouija follows a group of friends who play with an Ouija board and accidentally awaken an ancient dark spirit. The 2014 supernatural horror film was critically panned upon release but did well enough at the box office to warrant a sequel. In 2016, Ouija: Origin of Evil was released, acting as a prequel to the original film.

Anyone with a genuine belief in the paranormal or supernatural would swear that Ouija boards were best left well enough alone and this fear was effectively explored in the horror movie Ouija . A Ouija board was a flat board that contained numbers and letters which some believed could be used to contact spirits and have interactions during a séance. Although these boards have gained a highly suspect reputation, the name Ouija was actually a trademark of Hasbro and was originally branded as an innocent parlor game.

The film Ouija told the story of a group of teenagers who unleashed spirits using an Ouija board and were forced to confront their most terrifying fears after awakening dark and ancient powers. Although Ouija was not well received it led to the development of a prequel called Ouija: The Origin of Evil which critics deemed an improvement over its predecessor. An interesting concept for a horror franchise, Ouija explored the superstitious beliefs many held about this highly feared board game .

8 Dungeons & Dragons (2000)

Dungeons & dragons was based on the tabletop roleplaying game of the same name.

While the fantasy roleplaying game Dungeons & Dragons may be one of the most popular RPGs the world has ever seen, the same cannot be said about its movie adaptation Dungeons & Dragons from 2000. Telling the story of an empress seeking a mythical rod to aid her fight against an evil wizard, Dungeons & Dragons was a convoluted fantasy film that bombed at the box office and disappointed many of the game’s players. With subpar directing, a shoddy script, and a cheap aesthetic, Dungeons and Dragons did not do its source material justice.

Despite the significant star power of Dungeons & Dragons , which featured Jeremy Irons among its cast, the performances were bad, and the CGI was underwhelming. Considering that the cinematic wonder of The Lord of the Rings: The Fellowship of the Ring was released just one year after Dungeons & Dragons truly highlighted just how poor the presentation of this film was. While there have been several adaptations of Dungeons & Dragons over the years, this one stood as the poorest of them all.

7 Pi (1998)

The directional debut of Darren Aronofsky, Pi was a highly conceptual psychological thriller that heavily featured the Chinese strategy board game Go . A vast game that dated back more than 2,500 years this board game was infinitely more complex than chess and it made sense that Max Cohen, the maths genius at the center of Pi , would have an affinity for it. Throughout Pi, Max was shown playing Go with his mentor Sol, who explained the game as a microcosm of the complex and chaotic nature of the world.

As Max tried to understand the mathematical equals that governed the universe, the game Go acted as an effective metaphor for the infinite and unknowable qualities of existence. Pi was a frighteningly smart movie that addressed thrilling themes on a shoestring budget. Produced for just $134,815 (via Filmmaker Magazine ), Pi won Aronofsky the Directing Award at the 1998 Sundance Film Festival and kickstarted Aronofsky’s incredible body of work .

6 Zathura: A Space Adventure (2005)

Two orphan siblings move into a home occupied by the former Parrish family, whose son disappeared years ago. When the two start playing a mysterious board game known as "Jumanji," they unknowingly release the missing Alan Parrish later, along with various other jungle-themed dangers that can only be stopped if they finish the game.

While the world of Jumanji has been expanded into an entire franchise, it all started with the 1995 fantasy adventure film that starred Robin Williams in one of his most entertaining roles in a kids' movie. Jumanji told the story of two children who found themselves entered into the world of a magical board game , only to discover a man (Williams) who had been trapped in it for decades. With lots of light-hearted fun, and an infectious sense of adventure, Jumanji was the best board game adaptation for a movie aimed at children.

While Jumanji received mixed reviews upon its release it was a major financial success that grossed $262.8 million against its $65 million budget (via Box Office Mojo .) With an animated television series, spin-off movie, and two indirect sequels, Jumanji was a highly creative concept that provided endless potential for subsequent stories of kids transported into fun-filled worlds of adventure. 2 Clue (1985)

The comedic mystery Clue may have a lot in common with the whodunnit stories of Agatha Christie but it was an adaptation of the board game of the same name, which was known as Cluedo outside of North America. With a star-studded cast that included Tim Curry and Christopher Lloyd, Clue paid homage to the original board game by including three separate endings that mimicked the numerous potential murderers in the game. A hilarious murder mystery, Clue has developed a cult following in the years since its release.

Clue included the same iconic characters seen in the board game, such as Mrs. Peacock, Wadsworth the butler, and Colonel Mustard, which featured many allusions and references to the game. An enjoyable ensemble comedy that did its source material justice, Clue was full of wit and intrigue as it progressed toward its multiple conclusions. Although a new film based on the game was first announced in 2011 (via Variety ), the remake never came to fruition.
