Easy Trip declares record date for 3:1 bonus shares and 1:2 stock split

With a market worth of Rs. 8,640.54 Cr., Easy Trip Planners Ltd. is a mid-cap business that operates in the consumer discretionary industry. One of the leading travel agencies in India and a well-known brand in the sector is EaseMyTrip. The corporation has announced the record date for the 1:2 stock split and the 3:1 bonus shares.

The company has said today in a stock exchange filing that “This is to inform you that pursuant to Regulation 42 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, the Company has fixed Tuesday, November 22, 2022 as the Record Date, for the purpose of ascertaining the eligibility of shareholders entitled for the following matters subject to the shareholders’ approval to be obtained through postal ballot on Thursday, November 10, 2022: 1. Sub-division/Split of each existing equity share of face value of Rs. 2/- (Rupees Two only) into 2 equity shares of face value of Rs. 1/- (Rupee One Only) fully paid- up. 2. Issue of Bonus Equity Shares of the Company in the proportion of (Three) Equity Share of ₹ 1/- each for every (One) existing Equity Share of ₹ 1/- each."

The company has said in a stock exchange filing that “Authorised share Capital will be increased to INR 200,00,00,000 from INR 75,00,00,000 subject to shareholder’s approval and necessary filings with the Authorities and their approvals."

A total number of securities of 1,30,37,40,000 at a face of ₹ 1/- (post considering the split of shares into 1:1 subject to shareholders approval) or 65,18,70,000 at a face of ₹ 2/- (Pre-Split) are proposed to be issued or the total amount for which the bonus shares will be issued, as per the company. Within 2 months from the date of Board approval i.e. by December 08th, 2022 is the estimated date by which such bonus shares would be credited/dispatched.

The shares of Easy Trip Planners Ltd closed today at ₹ 398.15 apiece, up by 1.12% from the previous close of ₹ 393.75. In trade today the stock recorded a total volume of 1,140,257 shares compared to the 20-Day average volume of 1,098,326 shares. Easy Trip Planners got listed on the stock exchanges on March 19, 2021 with an issue price of ₹ 187 per share, since then the stock has risen to ₹ 398.15 apiece, representing a multibagger return of 281.99%. In the last 1 year, the stock has gained 55.98% and on a YTD basis, the stock has gained 47.88% so far in 2022. On the NSE the stock had touched a 52-week-high of ₹ 620.95 on (03-February-2022) and a 52-week-low of ₹ 261.00 on (08-March-2022), indicating that at the current market price the stock is trading 35.88% below the high and 52.54% above the low. For the quarter ended September or Q2FY23, the company reported a promoter shareholding of 74.90%, FIIs holding of 2.52%, DIIs holding of 2.44% and a public stake of 20.15%.

EaseMyTrip Bonus Shares: EaseMyTrip Shares are trading ex-bonus. The board of directors of the company fixed 22nd November 2022 as the record date to finalize eligible beneficiaries for the issuance of bonus shares and stock subdivision. Ahead of record date for stock split and bonus shares, EaseMyTrip share price shot up nearly 17 per cent in opening deals on Monday. EaseMyTrip share price today opened upside and went on to hit intraday high of Rs 57.30 apiece levels, logging to the tune of 17 per cent upside within few minutes of the stock market’s opening bell today.

The company’s board had approved and declared bonus shares in 3:1 ratio along with stock split in the ratio of 1:2.

In one of its latest stock market exchange communication, EaseMyTrip said, “This is to inform you that pursuant to Regulation 42 of the SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, the Company has fixed Tuesday, November 22, 2022 as the Record Date, for the purpose of ascertaining the eligibility of shareholders entitled for the following matters subject to the shareholders’ approval to be obtained through postal ballot on Thursday, November 10, 2022: 1. Sub division/Split of each existing equity share of face value of Rs. 2/- (Rupees Two only) into 2 equity shares of face value of Rs. 1/- (Rupee One Only) fully paid- up. 2. Issue of Bonus Equity Shares of the Company in the proportion of (Three) Equity Share of Rs 1/- each for every (One) existing Equity Share of Rs 1/- each.”

This is for the second occasion in 2022 when EaseMyTrip shares are trading ex-bonus. In February 2022, EaseMyTrip shares had traded ex-bonus for issuance of 1:1 bonus shares.

EaseMyTrip Stock Split

A stock split increases the number of shares that are outstanding by issuing more shares to the current shareholders. Stock split decreases the market price of the individual shares, however, does not result in changing the market capitalization of the company.

A company engages in stock split decision to make its stock more affordable if its price levels are very high, which in thus would lead to increase in liquidity in the stock. Meanwhile, bonus shares are fully paid additional shares issued by a company to its existing shareholders.

One of the largest online travel platforms in India, EaseMyTrip, has reported a record Q2FY23 Gross Booking Revenue (GBR) of Rs 1,977.7 Crores, the highest ever in any quarter.

Manoj Dalmia Founder and Director-Proficient Equities Limited, said: “EaseMyTrip company’s board has approved and declared bonus shares in 3:1 ratio along with stock split in the ratio of 1:2. Record date as being of November 22, investors can buy it with long term perspective as the travel sectors is to pick up in upcoming quarters.”

On a consolidated basis, the company has reported revenue from operations of Rs 108.5 crore in Q2FY23 compared to Rs 56.65 crore posted in Q2FY22, representing a YoY gain of 91.52 per cent. The company reported a net income of Rs 112.07 crore in Q2FY23 compared to Rs 59.78 crore posted in Q2FY22, representing a YoY gain of 87.5 per cent. “Strong GMV bookings by EaseMyTrip incentivizes on the huge pent-up demand post-COVID and growth opportunities within the industry,” said EasyMyTrip in a note.

Nykaa, Easemytrip bonus shares' issue under Sebi scanner: Report

Nykaa issued bonus shares ahead of the end of lock-in period for pre-ipo investors to avoid a fall in share price that the new age tech firms witnessed in the recent past.

The Securities and Exchange Board of India (SEBI) may ask companies to allot bonus and split shares to shareholders within a defined period of time, said a report on Thursday.

The Moneycontrol report comes at a time when Nykaa issued bonus shares ahead of the end of lock-in period for pre-IPO investors to avoid a fall in share price that the new age tech firms witnessed in the recent past. 

Easemytrip's board had approved and declared bonus shares in 3:1 ratio along with stock split in the ratio of 1:2, which led to 40% rise in share price in no time (from Rs 48 to Rs 68).

Market players say that some promoters, in collusion with operators, rig the stock price during the window between the record date and the date on which the shares are allotted, the news portal published.

Shares of FSN E-Commerce Ventures (Nykaa) saw a dozen block deals on Tuesday, with Société Générale, BofA Securities, Morgan Stanley, Aditya Birla SL MF, ICICI Prudential Mutual Fund emerging as key buyers.

Separately, FSN E-Commerce Ventures, which operates under the Nykaa brand name, on Tuesday said its chief financial officer Arvind Agarwal has resigned from the company.

Agarwal joined Nykaa from Amazon in July 2020 and is among key managerial personnel (KMP) who handled the initial public offer of the firm.

How to save money on travel insurance if you’re over 60.

Getting travel insurance when you're over 60 can be hard. Here's how to make it easier.

Dave Dzurick likes to play it safe when he travels, so he shops around for travel insurance. But lately, he's noticed that the policies have gotten more expensive.

"Each year past 60 seems to increase travel insurance rates," says Dzurick, a retired broadcast engineer from Tucson, Ariz.

It's not just his imagination.

"Age is the crucial underwriting factor in determining trip cancellation and medical assistance risk for the insurance provider," explains John Rose, the chief risk and security officer of ALTOUR .

Age is more important than ever in travel insurance

You would expect something like age-based pricing to be a constant in the travel insurance industry, but not necessarily. Some group travel insurance policies don't consider age. But a shift is underway.

Last year, when Travelex Insurance Services launched its new line of travel protection plans , it called out one enhancement: competitive age-band pricing, which bases its rates on each traveler’s risk level.

"We’re responding to the coverage and benefits our partners and travelers want," notes Brooke Kirby, Travelex vice president of marketing.

In other words, the rate you pay for travel insurance will be more closely aligned with your age than ever. That's good news if you're young. But if you're over 60, it can present a challenge.

Rhonda Abedsalam, vice president of Travel Insurance at AXA Partners US , says age-band pricing is a mechanism designed to align prices with the real risks associated with each age group.

"It provides a fair and balanced approach to travel insurance," she says.

Specifically, this method offers younger travelers access to more affordable options, preventing them from bearing the brunt of a one-size-fits-all pricing strategy. She says older travelers who are looking for lower rates can choose plans offering minimal coverage for a cost-effective solution.

"We always advocate for choosing a plan that balances affordability with comprehensive coverage," she says.

That's a position the US Travel Insurance Association (USTIA) agrees with. When I asked about age-band pricing, a representative advised me that it’s important to understand the plan you are purchasing — what is and isn’t covered — and the level of medical expense and medical evacuation limits offered.

"Never purchase based on price alone," says Robert Gallagher, USTIA's president.

Your travel insurance rates may vary

Pricing travel insurance based on age makes sense, say experts.

"There's a higher risk for claims, primarily due to health concerns," explains PK Rao, CEO of INF Visitor Care .

How much more expensive? Consider medical insurance. A 65-year-old U.S. citizen, for example, might pay $9 a day for international travel insurance with a $1 million coverage limit. On the other hand, an 85-year-old American might pay $31 a day for that same insurance policy, according to Joe Cronin, CEO of International Citizens Insurance .

"Fortunately, there are more affordable options for seniors who are more budget-conscious," he says.

How to lower your travel insurance rates if you're over 60

"The easiest way to lower your costs would be to Benjamin Button it and get younger," jokes Michal Wieczorek, global client relations and intelligence specialist at Insured Nomads .

Seriously, though, he says choosing higher deductibles and lower medical maximums can cut your insurance costs. He says some insurers specialize in benefits for older travelers but cautions buyers to be careful.

"Read the fine print, because certain benefits may decrease or be eliminated above certain ages, especially things like accidental death and dismemberment and evacuation benefits," he adds.

There's a difference between retail travel insurance and group insurance, adds Dan Skilken, president of Tripinsurance.com.

"Retail travel insurance policies are price-sensitive based on age, trip cost, and the length of the trip," he says. "Commercial policies sold through cruise or major tour companies are generally not priced based on age."

In other words, sometimes older travelers can get a better price going through the cruise line or tour operator for travel insurance. But here again, buyers need to be careful, he adds, since some of those policies may lack essential coverage.

How one customer saved money on travel insurance after age 60

Dzurick says he's not deterred by the higher rates because he knows the value of travel insurance.

"For me, one way to save on travel insurance is to get a separate medical rider covering only the basics," he says.

A bare-bones policy would cover only essential items like medical care when you're abroad and emergency evacuation, but would omit some of the other features of travel insurance like coverage of lost luggage or trip interruption.

There's another method Dzurick likes. He checks with his employer-provided insurance to see if it will offer coverage.

"My former employer recently changed insurance plans for retirees, and it turns out the new policy provides coverage worldwide," he says. "So there's no need for any additional coverage."

Some travel insurance companies offer reduced coverage for older travelers. For example, INF has policy maximums up to $250,000 for policyholders who are older than 70 to ease the concerns of travelers.

"You can also take a fixed benefit option which offers lower payments, but still has evacuation benefits," notes Rao.

Cronin says there are budget-friendly options for U.S. seniors traveling outside the U.S. He likes Trawick Safe Travels USA Comprehensive Insurance and Atlas Travel Medical, both of which offer affordable options for seniors traveling to the U.S.

Another travel insurance hack: the two-policy option

Another way to get affordable coverage with a decently high policy maximum if you’ve aged out of the coverage you prefer is to purchase two travel medical insurance plans, according to James Nuttall, general manager of Insubuy .

"Each plan is considered secondary to the other, and they can share the load for claims involving large medical expenses," he explains.

For instance, a plan offering $250,000 worth of coverage may not be in the budget for your age group. But two plans offering $100,000 worth of coverage each might be.

"Just keep in mind that each plan must be from a different insurance company," he adds. "You can’t just purchase two of the same plans."

Pro tip: If you decide to go down this road, work with an experienced travel advisor who knows how two insurance policies would work together.

Other ways to save money on travel insurance if you're over 60

There are other ways to save money, according to Daniel Durazo, director of communications at Allianz Partners USA .

Consider an annual travel insurance policy

Purchasing an annual travel insurance policy can be a smart choice for those who have more than three trips planned in a year, says Durazo. Unlike a one-trip plan, an annual plan protects all of your trips in a 365-day period, which can save you money, rather than insuring each trip separately. Annual policies are sometimes offered at a flat rate, meaning your cost may not increase with age and trip cost.

Buy a plan that includes more

For example, some travel insurance policies include children at no additional charge. That includes Allianz’s OneTrip Prime and OneTrip Premier, both of which cover children aged 17 and younger when traveling with a parent or grandparent.

Focus on trip cancellation benefits for U.S. trips

Durazo says trip cancellation benefits may cover the cost of canceling your trip if you encounter a situation covered by your policy. These benefits can reimburse you for prepaid, nonrefundable trip costs if you have to cancel your trip at the last minute for a covered reason. They're among the most frequently used benefits for U.S. trips (often, medical expenses are covered by your health insurance plan).

Get a plan with post-departure benefits if you're going abroad

Post-departure benefits can kick in as soon as you begin your trip. They can include coverage for travel delays, baggage loss or damage and baggage delay, according to Durazo. It can also include emergency medical and emergency transportation benefits, which are highly recommended for overseas travel.

Age-band pricing is more pervasive than ever in travel insurance. If you're headed somewhere this summer, make sure you know all of your options before you buy a policy.

Labour leader Sir Keir Starmer and his deputy Angela Rayner will launch their party's local election campaign on Thursday by accusing the Tories of "preying on the hopes" of working people.

At the event in the West Midlands, Sir Keir will say the Conservatives had failed on their "levelling up" pledge since winning the election in 2019, and while his party won't "promise easy answers", they will promise change.

Sir Keir will focus his policy pledges on the introduction of a "Take Back Control Act", giving new powers to mayors over transport, skills, energy, and planning, and offering a "full fat approach" to devolution around the country.

"The argument is simple," he will say. "Democratic decisions are better made by local people with skin in the game. 

"And devolution is absolutely essential for taking on regional inequality and unlocking that pride."

In a direct attack on the Tories, Ms Rayner will add: "We seek power so we can hand it back to the people. That is the Labour way. It belongs to them - not us. 

"Because more of the same just isn't good enough. 

"Three-word slogans. Empty promises. Broken as quickly as they were made. Leaping from crisis to crisis. Driven by vested interest. Cronies, oligarchs and lobbyists who have had more say over the shape of last decade than working families have."

“Never again. We could now be months away from the reset of a nation. 

"On 2 May, the country has a chance to send the Tories a clear message: put an end to the chaos and the failure visible in every community up and down the country."

Greater Manchester Police has said it is "reassessing" its decision not to investigate allegations made against Labour's deputy leader Angela Rayner over her living arrangements after receiving a complaint. 

The Labour MP has come under the spotlight in recent weeks over the sale of an ex-council house she previously owned in Stockport, having been accused of avoiding capital gains tax - something she has denied.

But Ms Rayner has also faced scrutiny over claims that in 2010, she may have lived primarily at her then-husband's address, despite registering to vote under her own - which could be a breach of electoral rules.

She told journalists earlier this month that there was "never a question of deceitfulness" or "conspiracy" with regards to her living arrangements, as she outlined her "difficult" family situation at the time.

But Tory MP James Daly asked police to investigate whether she had given false information or broken election rules.

Initially, Greater Manchester Police looked into the claims and said there was no evidence of an offence being committed.

However, in a fresh statement released on Wednesday, a spokesperson for the force said: "We have received a complaint regarding our decision not to investigate an allegation and are in the process of reassessing this decision.

"The complainant will be updated with the outcome of the reassessment in due course."

A leasehold is where someone pays a figure on a level with the sale price of a property, but actually just rents the property from a landlord for a period of 99 years or such - and they can be left liable to paying extra charges.

Kwajo Tweneboa, an affordable housing campaigner, says he believes Mr Gove will be "disappointed" in the turn of events.

Mr Gove said he wanted to end the system - which dates back hundreds of years - before the election, but it seems only a watered-down version is going to be passed.

 Mr Tweneboa says: "I'm not here to pour glitter on any sort of politician, any MP or anything, but from my meetings with [Mr Gove], I do believe that he wants to create changes, whether it comes to the Renters' Reform bill, Social Housing Regulation Bill, but also Leasehold reform too. 

"So if it is the case where it is being watered down in the way that's being suggested, I do believe he will be disappointed.

"I think perhaps he's going to have to take a firmer stance.

"Ultimately, we need reform to be as strong as possible."

Mr Tweneboa says pressure needs to be applied "equally" to whoever the next government is - Labour or Conservative.

Sophy's panel discuss why people are increasingly unhappy with the NHS.

Former Corbyn adviser James Schneider says the health service is one of "probably the most civilised things about our country".

But he says the past 30 years of "under-funding, part-privatisation and various botched attempts to reorganise it" have left people dissatisfied.

Ex-Tory minister Lord Vaizey says he has always been in favour of NHS reform - and that he doesn't see any problems with a private company delivering an NHS service.

He advocates for private companies to be given "simple operations - cataracts, knee replacements, that kind of thing" on a free-at-use basis to bring down waiting lists - as was the case under New Labour.

Our City editor Mark Kleinman  has some breaking news tonight about Thames Water.

He has heard that shareholders seem to be unwilling to stump up funds of up to £3bn to secure the utility's future.

Mark stresses to Sophy the company is not on the brink of collapse - but this is a major headache for the company as it has massive debts.

"This will raise fresh questions about whether Thames Water can survive as a solvent, independent company or whether it will have to be nationalised temporarily by the government," Mark says.

"Now, that would be a huge political headache for Rishi Sunak's administration, because it would come just months before the general election.

"It would ultimately cost taxpayers billions of pounds."

Over a year ago, Rishi Sunak made five pledges for voters to judge him on.

The prime minister met his pledge to halve inflation by the end of 2023.

However, as evidenced by the latest figures on small boat crossings (see 11.20 post), he is faring less well with his other pledges.

With the general election approaching, how is Mr Sunak doing on delivering on his promises?

Sophy asks our panel why Rishi Sunak pledged to stop the boats when he could not do it.

Former Conservative minister Lord Vaizey says, that while he disagrees with Sophy's thesis, he agrees that it was a "mistake" to make the pledge.

There's nothing wrong with a politician making a promise, Lord Vaizey says, but the prime minister has driven "himself into a cul-de-sac".

James Schneider , a former Labour adviser in the Corbyn period, says he is not sure what the current Labour Party's policy on the issue is.

He says the opposition seem to be "duck for cover and let the government make a mess of it".

Mr Schneider says the row has the "intricate detail" of the Brexit debate, but it can't be voted on in such a way.

Mr Gullis sets out why he is different from former deputy chair Lee Anderson, who has defected to Reform UK.

Mr Anderson was a Labour councillor before he joined the Conservatives.

Mr Gullis says: "I've been a member of the Conservative Party since I was 18 years old.

"I've been an association officer, a councillor, and now a member of parliament.

"I've obviously been out with my members and across other members and across the country delivering leaflets, knocking on doors. 

"I'm proud of the Conservative Party and what we've done and what we've delivered."

He says he "will go into battle" for Mr Sunak.

"I'll tell you something about Rishi that not many people know. 

"My son went into hospital last year, and he was really struggling to breathe, and I only told one whip because I left the chamber and dashed in the car to get back up here to Stoke-on-Trent.

"Ten o'clock that night, Rishi texted me to ask how my child was doing. He checked in again at 7am the next morning and 10pm the next evening, and he did that day in, day out for five days in a row until my child was back home. 

"That shows you the measure of the man, that shows you the decency, the humility, the caring nature he has for his colleagues as well as the country as a whole."

Jonathan Gullis is the newly minted deputy chair of the Conservative Party, and is speaking to the Politics Hub with Sophy Ridge.

He has taken up the role after Lee Anderson, a former deputy chair, defected to Reform UK.

Speaking about the record numbers of people who have crossed the Channel this year, Mr Gullis blames "pesky peers" - who are "predominantly Labour" - for blocking the Safety of Rwanda Bill.

Sophy puts it to Mr Gullis that he "blocked" the bill as well - as he abstained from voting for it previously.

"Sophy, there's a very clear difference here between saying that you want something to work, you believe in Rwanda, as I do," he says.

"And I want Rwanda to work as well, as I do, as the prime minister does.

"But obviously I had, with that particular bill, a couple of amendments that I wanted to see be adopted. 

"They weren't adopted - I was true to my word. 

"I said that I was going to not block the bill, unlike the Labour Party, who continue to block it at every turn, every corner."
